Terms of Service

PDX Live Events is an independent events publication based in Portland, Oregon. By using PDX Live Events, creating or using an account, or submitting information where these Terms are presented, you agree to these Terms. If you do not agree, do not use the affected service or submit material through it.

1. About PDX Live Events

PDX Live Events discovers, collects, verifies, organizes, publishes, and reports information about events, artists, venues, organizations, and Portland's cultural community.

PDX Live Events exercises independent editorial judgment.

Unless PDX Live Events expressly identifies itself as an organizer or producer of a particular event, PDX Live Events is not the venue, organizer, producer, promoter, ticket seller, performer, or operator of events appearing in the publication.

2. Event Information Is Subject to Change

We work to provide useful and accurate event information, but events change.

Dates, times, locations, performers, admission prices, age restrictions, accessibility information, ticket availability, policies, and other details may change after publication.

Before making plans, purchasing tickets, traveling, or relying on information that is particularly important to you, you should confirm material details with the event organizer, venue, ticket provider, or another authoritative source.

PDX Live Events may correct or update information when we learn that a listing is inaccurate.

3. Editorial Independence and Discretion

Submitting information to PDX Live Events does not guarantee publication.

PDX Live Events retains editorial discretion over its publication, including decisions concerning:

• whether material is published
• verification
• fact-checking
• editing
• headlines and descriptions
• categorization
• presentation
• prominence
• images
• corrections
• updates
• removal
• archival treatment

We may edit submitted material for clarity, accuracy, length, formatting, style, accessibility, consistency, or presentation.

We may reject, postpone, unpublish, correct, archive, or remove material when we determine that doing so is appropriate.

Advertising, sponsorship, partnership, account access, API access, submission volume, commercial relationships, or payment to PDX Live Events do not guarantee editorial coverage, favorable treatment, publication, ranking, or placement unless a particular paid service expressly states otherwise.

Advertising or sponsored material should be distinguished from independent editorial content where appropriate.

4. Event Submissions

When you submit an event, you represent that, to the best of your knowledge:

• the information you provide is accurate;
• you are authorized to submit the information;
• you have the rights or permissions reasonably necessary to provide submitted photographs, artwork, flyers, descriptions, logos, or other material;
• your submission does not knowingly violate another person's intellectual-property, privacy, publicity, or other rights;
• your submission is not fraudulent or intentionally misleading; and
• the event and submission do not violate applicable law.

You should provide accurate information and notify PDX Live Events when you become aware of a significant cancellation, postponement, location change, or other material correction affecting an event you submitted.

PDX Live Events may independently verify, modify, supplement, or decline information provided in a submission.

5. Ownership of Submitted Content

You retain whatever ownership rights you otherwise hold in material you submit to PDX Live Events.

Submitting content does not transfer ownership of your underlying copyright to PDX Live Events.

However, PDX Live Events needs permission to actually operate a publication rather than ceremonially place your flyer in a database and never touch it again.

When you submit content, you grant PDX Live Events a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, resize, crop, adapt for presentation, display, publish, distribute, and promote that content in connection with PDX Live Events and its editorial, archival, promotional, and distribution activities.

This license includes reasonable technical and editorial modifications needed to present submitted content across websites, social platforms, newsletters, search results, previews, archives, and other PDX Live Events publishing channels.

This license does not give PDX Live Events ownership of your underlying content.

You represent that you have sufficient authority to grant this license.

6. Public Information

Information submitted specifically for publication may become public.

This can include event information, public venue information, artist information, links, photographs, artwork, posters, and other promotional material.

Once information is publicly distributed, third parties may copy, cache, index, archive, or redistribute it. PDX Live Events cannot guarantee removal of copies controlled by third parties.

Personal information submitted solely for administrative or editorial communication is handled according to our Privacy Policy.

7. Artists, Venues, and Organizations

A person submitting or managing information on behalf of an artist, venue, promoter, organization, or other entity represents that they have reasonable authority to do so.

PDX Live Events may request verification of that relationship.

We may distinguish between:

• information provided by an authorized representative;
• information independently gathered or reported by PDX Live Events;
• information obtained from public sources; and
• information supplied by other contributors.

No artist, venue, promoter, or organization has an automatic right to control independent editorial coverage about itself.

8. Partner Accounts

PDX Live Events may provide portal access to authorized partners.

Partner accounts are intended only for authorized representatives of the organization or entity associated with the account.

Partners are responsible for:

• providing accurate account information;
• maintaining the confidentiality of credentials;
• restricting account use to authorized people;
• promptly reporting suspected unauthorized access;
• maintaining accurate event information; and
• ensuring that people and systems submitting through the account have appropriate authority.

PDX Live Events may change permissions, revoke credentials, suspend integrations, or disable access when reasonably necessary for security, misuse prevention, organizational changes, or administration of the service.

Partner access does not provide direct control over PDX Live Events editorial decisions.

Unless explicitly stated otherwise, partner-submitted events and proposed changes remain subject to editorial review before publication.

9. Partner Integrations and API Credentials

Authorized partners may receive access to tools that allow external systems to submit information to PDX Live Events.

You are responsible for protecting API credentials and access keys issued to you.

Do not:

• publish private access keys;
• intentionally provide credentials to unauthorized parties;
• attempt to exceed the permissions associated with a credential;
• use integrations to access another partner's information;
• interfere with or circumvent security controls;
• intentionally overload or disrupt the service; or
• use automated access for unlawful, abusive, deceptive, or unauthorized purposes.

Activity performed using a valid partner credential may be treated as activity performed on behalf of the associated partner unless PDX Live Events has reason to believe the credential was compromised.

Credentials may expire or be revoked.

PDX Live Events may impose reasonable technical limits necessary to protect the service.

10. Automated Event Feeds

Automated integrations can make mistakes.

Partners using automated feeds remain responsible for the accuracy and authority of information their systems submit.

PDX Live Events may reject, deduplicate, quarantine, correct, or suspend automated submissions when a feed behaves unexpectedly or creates inaccurate, duplicate, abusive, or technically harmful records.

Receiving information through an automated integration does not guarantee publication.

11. Volunteer and Contributor Tools

PDX Live Events may provide authorized volunteers or contributors with tools for researching, verifying, editing, or reviewing information.

Access to those systems does not create authority to speak for PDX Live Events except where specifically authorized.

Volunteers and contributors must protect nonpublic information encountered through internal tools and use access only for legitimate PDX Live Events purposes.

Volunteer participation through these tools does not, by itself, constitute an offer or guarantee of employment.

Separate written agreements may govern particular paid work, commissioned work, photography, reporting, development, or other professional relationships.

12. Newsletter

Subscription to the PDX Live Events marketing newsletter is voluntary.

You may unsubscribe using the mechanism provided in marketing emails.

Operational communications concerning submissions, accounts, security, partner relationships, or other requested services are separate from marketing subscriptions.

13. Prohibited Conduct

You may not use PDX Live Events to:

• submit knowingly false or fraudulent information;
• impersonate another person or organization;
• falsely claim authority to represent an artist, venue, organization, or event;
• upload material you know you are not authorized to provide;
• distribute malware or malicious code;
• probe or circumvent authentication or security systems without authorization;
• interfere with the operation of the service;
• scrape or access nonpublic systems without permission;
• obtain or attempt to obtain another user's credentials;
• abuse submission or communication systems;
• engage in unlawful harassment, threats, fraud, or deception; or
• use the service in violation of applicable law.
• PDX Live Events may investigate suspected misuse and restrict access where reasonably necessary.

14. Third-Party Websites and Ticketing

PDX Live Events links to websites and services operated by third parties.

These may include:

• ticket sellers
• venues
• event organizers
• artist websites
• social networks
• streaming services
• maps
• payment providers
• other external resources
• PDX Live Events generally does not control those services.

A link does not mean PDX Live Events guarantees or assumes responsibility for the third party's availability, security, accuracy, privacy practices, products, transactions, refund policies, ticket validity, fees, or conduct.

Purchases and other transactions with third parties are between you and the applicable third party.

15. Event Attendance and Physical Locations

PDX Live Events provides information about events. It generally does not control the physical places or activities described in listings.

To the extent permitted by applicable law, PDX Live Events is not responsible for conditions at third-party events or venues, including:

• injuries
• property loss or damage
• accessibility conditions
• security practices
• crowd conditions
• alcohol service
• transportation
• weather
• health or safety policies
• acts of attendees, performers, organizers, venues, or other third parties
• Nothing in these Terms eliminates responsibility that cannot legally be excluded.

16. Corrections and Removal Requests

If you believe an event listing contains a factual error, please contact PDX Live Events.

We welcome corrections, but requests to change or remove published material remain subject to editorial judgment, applicable law, and the circumstances of the request.

Correction requests concerning private personal information are handled according to our Privacy Policy.

17. Intellectual Property

The PDX Live Events name, original publication design, original reporting, photographs, graphics, software, and other material created by or for PDX Live Events may be protected by copyright, trademark, or other law.

These Terms do not grant permission to reproduce PDX Live Events-owned material beyond ordinary personal use of the publication unless permission is otherwise provided.

Third-party event artwork, photographs, logos, and other materials remain subject to the rights of their respective owners.

18. Copyright Complaints

PDX Live Events respects intellectual-property rights.

If you believe material available through PDX Live Events infringes your copyright, contact:

• the copyrighted work you believe has been infringed;
• the material you believe is infringing;
• where the material appears on PDX Live Events;
• your contact information; and
• enough information for us to understand and evaluate the request.

PDX Live Events may remove or restrict access to disputed material while a claim is reviewed.

If PDX Live Events establishes a formally designated DMCA agent, the current agent information and formal notice procedure will be published on the site and will control notices submitted under the Digital Millennium Copyright Act.

19. Privacy

Use of PDX Live Events is also subject to our Privacy Policy.

The Privacy Policy explains the information we collect, how it is used, which services process it, and the choices available to users.

20. Availability of the Service

PDX Live Events is provided on an "as available" basis.

We may modify, suspend, discontinue, redesign, or temporarily interrupt portions of the service.

We do not guarantee that:

• every eligible event will be discovered or listed;
• every submission will be published;
• every listing will remain available;
• every feature will operate without interruption;
• data will never be lost;
• external integrations will always remain available; or
• the service will always be error-free.
• Where practical, we will try to correct significant problems when we discover them.

21. Disclaimer of Warranties

To the extent permitted by applicable law, PDX Live Events makes no warranty that information or services will be complete, continuously available, error-free, or suitable for every particular purpose.

Nothing in these Terms excludes warranties or rights that applicable law does not permit us to exclude.

22. Limitation of Liability

To the fullest extent permitted by applicable law, PDX Live Events will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of or inability to use the service, reliance on event information, third-party transactions, third-party conduct, or attendance at third-party events.

PDX Live Events is not responsible for losses caused by event cancellations, schedule changes, inaccurate information supplied by third parties, ticketing disputes, external websites, venue conditions, or conduct outside PDX Live Events' reasonable control.

These limitations apply only to the extent permitted by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

23. Responsibility for Your Submissions

You are responsible for material you knowingly submit through PDX Live Events.

If a claim arises because you knowingly submitted material you did not have the right to provide, impersonated another party, intentionally supplied fraudulent information, or otherwise materially violated these Terms, you may be responsible for resulting losses or claims to the extent provided by applicable law.

This section does not create liability beyond what applicable law permits.

24. Suspension and Termination

PDX Live Events may suspend or terminate access to accounts, integrations, credentials, or restricted tools when reasonably necessary because of:

• security concerns;
• unauthorized access;
• material violation of these Terms;
• fraudulent or abusive conduct;
• loss of authorization to represent an organization;
• discontinued services; or
• legal requirements.
• Where appropriate, access may be restored after the underlying issue is resolved.

25. Changes to These Terms

PDX Live Events may update these Terms as the publication and its services evolve.

The effective date at the top identifies the current version.

Material changes affecting existing account holders or partners may also be communicated through the service or by email when appropriate.

Continued use after updated Terms become effective may constitute acceptance where permitted by law and where adequate notice has been provided.

When affirmative acceptance is legally or operationally appropriate, PDX Live Events may require it before continued use of a particular service.

26. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute concerning these Terms will be handled in an appropriate court with jurisdiction in Oregon unless applicable law provides otherwise.

Nothing in this section deprives a consumer of protections or rights that cannot legally be waived.

27. Severability

If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

28. Entire Agreement

These Terms and any additional written terms expressly applicable to a particular PDX Live Events service constitute the agreement governing use of that service.

Separate written agreements with partners, contractors, employees, contributors, advertisers, sponsors, or other parties may supplement or supersede portions of these Terms for those relationships.
